Welcome to Focal Suite AI. These Terms & Conditions (“Terms”) govern your use of our platform, products, and services (“Services”). By accessing, registering, or purchasing any subscription/credit from Focal Suite AI, you agree to these Terms. If you do not agree, please discontinue use immediately.

1. Definitions

  • “Focal Suite AI” refers to Syspro Digital Sdn. Bhd. and its SaaS platform.

  • “User” / “You” refers to any individual, business, or organization using our Services.

  • “Credits” means units purchased or allocated to access AI services (text, image, voice, chat, code generation).

  • “Reseller” means a dealer, partner, or agency authorized to sell Focal Suite AI services.

  • “Content” means all outputs generated by our Services, including text, images, voice, and code.

2. Eligibility

  • You must be at least 18 years old or have legal capacity under Malaysian law to enter into contracts.

  • By registering, you represent that all information provided is accurate and complete.

  • Businesses must ensure that the person registering is authorized to bind the company.

3. Services Provided

  • Focal Suite AI offers AI-powered content generation, image creation, chatbots, voice processing, and related tools.

  • Services are provided on a subscription or credit basis.

  • Access is subject to account activation, payment confirmation, and compliance with these Terms.

4. User Obligations

You agree that you will NOT use Focal Suite AI Services to:

  • Create, distribute, or promote content that is illegal under Malaysian law, including but not limited to gambling, pornography, extremism, and hate speech.

  • Generate misleading, fraudulent, or harmful information (“deepfakes”, impersonation, or scams).

  • Violate third-party intellectual property rights.

  • Engage in abusive or excessive requests that disrupt service stability.

5. Account & Security

  • Users are responsible for safeguarding login credentials.

  • Sharing accounts or selling access without authorization is strictly prohibited.

  • Any misuse, unauthorized access, or suspicious activity may result in suspension.

6. Payments & Billing

  • All prices are listed in Ringgit Malaysia (RM) unless otherwise specified.

  • Payments must be made through our supported payment gateways (e.g., FPX, Toyyibpay, Stripe, PayPal).

  • Subscription renewals are automatically charged unless canceled before the next billing cycle.

  • Credit purchases are non-refundable once used or activated.

7. Refund Policy

  • Refunds may only be granted for unused subscriptions within 7 days of initial purchase, subject to management approval.

  • Credits already consumed or partially used subscriptions are strictly non-refundable.

  • Chargebacks or payment disputes without first contacting us may result in account suspension.

8. Service Availability

  • Focal Suite AI relies on third-party AI providers (e.g., OpenAI, Stable Diffusion).

  • We do not guarantee 100% uptime and may temporarily suspend services for maintenance or due to third-party outages.

  • We reserve the right to limit, suspend, or terminate services for any user violating these Terms.

9. Intellectual Property

  • All platform technology, branding, and software remain the property of Focal Suite AI and Syspro Digital Sdn. Bhd.

  • Content generated using AI is the responsibility of the user.

  • Users are granted a license to use generated outputs for personal or commercial purposes, provided such use complies with the law.

10. Data & Privacy

  • We collect and process personal data in accordance with the Malaysia Personal Data Protection Act (PDPA 2010).

  • Some prompts, requests, or outputs may be logged for quality assurance and service improvement.

  • Users must not submit sensitive personal data without consent.

11. Reseller & White-Label Policy

  • Authorized resellers may market and sell Focal Suite AI services under agreed terms.

  • Resellers must not misrepresent services or engage in unethical practices.

  • Bulk credits or white-label accounts are subject to additional agreements.

12. Limitation of Liability

  • Focal Suite AI is not liable for any losses, damages, or liabilities arising from:

    • Use of AI-generated outputs.

    • Business decisions made based on AI content.

    • Service downtime or third-party API failures.

  • Services are provided “as is” and “as available” without warranties of accuracy or fitness for a particular purpose.

13. Indemnity

You agree to indemnify and hold harmless Focal Suite AI, its parent company, officers, employees, and resellers against any claims, damages, or legal actions arising from your use of the Services.

14. Termination

  • We may suspend or terminate accounts for violation of these Terms without refund.

  • Users may terminate subscriptions by canceling before renewal dates.

  • Upon termination, all unused credits are forfeited.

15. Governing Law & Jurisdiction

  • These Terms shall be governed by the laws of Malaysia.

  • Any disputes shall be subject to the exclusive jurisdiction of the courts in Kuala Lumpur, Malaysia.

16. Amendments

  • Focal Suite AI reserves the right to update these Terms at any time.

  • Updated Terms will take effect immediately upon posting.

  • Continued use of the Services after changes constitutes acceptance.
